These terms govern your access to Sanchaya Services and the legal conditions applicable to our Employer of Record (EOR), Staffing, Payroll, and Recruitment solutions in Nepal.

Acceptance of Terms & Scope

Legally binding agreement governing the use of Sanchaya Services website and service solutions.

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“Client”, “User”, “Candidate”, or “Employee”) and Sanchaya Staffing Services Pvt. Ltd. (“Sanchaya Services”, “we”, “us”, or “our”), an ISO 9001:2015 certified HR and Employer of Record (EOR) firm in Nepal.

By accessing or using our website at https://sanchayaservices.com, engaging our Employer of Record (EOR) services, executing payroll outsourcing agreements, or submitting candidate applications, you agree to be bound by these Terms and our Privacy Policy.

Important Legal NoticeIf you are entering into this Agreement on behalf of a company, INGO, or legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

Employer of Record (EOR) & Staffing Services

Rules governing employment co-management, labor compliance, and workplace oversight in Nepal.

When Sanchaya Services acts as an Employer of Record (EOR) or Staffing Provider for a Client in Nepal, the following co-employment framework applies:

Legal Employer Status

Sanchaya serves as the legal employer in Nepal for administrative, payroll, tax, and Social Security Fund (SSF) purposes, executing official employment contracts aligned with the Labor Act 2074 (2017).

Operational Supervision

The Client retains operational direction, daily assignment supervision, and project delivery oversight over deputed staff members.

Workplace Safety & Ethics

Clients must provide a safe, non-discriminatory, and lawful work environment adhering to occupational health and safety standards mandated by Nepal law.

Payroll Outsourcing & Payment Terms

Billing schedules, currency management, tax withholdings, and late payment policies.

Payroll outsourcing and EOR invoicing are managed in accordance with specific Master Services Agreements (MSA) or Service Level Agreements (SLA):

  • Invoice Timelines: Invoices for monthly payroll, management fees, and statutory contributions are issued according to agreed billing cycles and are due within the payment window specified in the service quote.
  • Statutory Withholdings: All salary disbursements are processed with mandatory deductions for Income Tax under Inland Revenue Department (IRD) slabs (2082/83) and Social Security Fund (SSF) contributions.
  • Currency & Banking Charges: International bank transfers must cover intermediary bank fees to ensure the net invoiced amount is received by Sanchaya in Nepalese Rupees (NPR) or agreed foreign currency.

Recruitment & Candidate Terms

Rules for job applicants, candidate submissions, background checks, and placement fees.

For candidates applying for positions or clients engaging Sanchaya for permanent recruitment:

Candidate Accuracy

Candidates guarantee that all information provided in CVs, credentials, and interviews is true, complete, and authentic. Providing false credentials may result in immediate disqualification or employment termination.

Background Verification

Candidates authorize Sanchaya and client partners to conduct reference checks, education verification, and criminal background checks as permitted under Nepal laws.

Confidentiality & Non-Disclosure

Protection of client business secrets, proprietary workforce data, and candidate records.

Both Sanchaya Services and the Client commit to maintaining strict confidentiality regarding trade secrets, business strategies, compensation data, and proprietary information accessed during the engagement:

Mutual NDA Commitment

Neither party shall disclose confidential information to any third party without prior written consent, except where required by statutory court orders or regulatory bodies in Nepal.

Intellectual Property Rights

Ownership of Sanchaya branding, website content, tools, and client work products.

All content on `sanchayaservices.com` — including logos, graphics, compliance tools, tax calculators, article text, and software code — is the intellectual property of Sanchaya Services and protected under copyright laws of Nepal.

Work product created by deputed EOR employees specifically for a Client during their employment assignment belongs exclusively to the Client as defined in the master EOR agreement.

Prohibited Website & Service Uses

Explicit restrictions on website misuse, security tampering, and fraudulent submissions.

Users and website visitors agree not to engage in any of the following prohibited activities:

Submitting fraudulent CVs or impersonating other individuals.
Attempting unauthorized access to client or employee portal systems.
Scraping, harvesting, or extracting data from our website without written permission.
Introducing viruses, malware, or harmful code to our digital infrastructure.
Using Sanchaya branding or name for unauthorized recruitment scams.

Limitation of Liability

Caps on financial liability, indirect damages, and force majeure provisions.

To the maximum extent permitted by Nepal law, Sanchaya Services shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, data, or business interruption.

Liability Cap

In any event, Sanchaya's total aggregate liability arising from or related to any service contract shall not exceed the total management fee actually paid by the Client to Sanchaya in the three (3) months preceding the event giving rise to liability.

Service Termination & Notice Periods

Terms for terminating EOR or recruitment contracts, notice timelines, and transition help.

Either party may terminate an ongoing service agreement by providing written notice in accordance with the notice period specified in the master contract (typically 30 to 60 days).

Upon termination, all outstanding fees, statutory severance obligations under the Labor Act 2074, and final payroll settlements must be fully cleared before final discharge certificates are issued.

Governing Law & Dispute Resolution

Jurisdiction governed by the laws of Nepal and formal arbitration procedures.

These Terms of Service and any contracts entered into with Sanchaya Services shall be governed by and construed in accordance with the laws of Nepal.

Jurisdiction & Venue

Any legal dispute or claim arising out of or in connection with these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Kathmandu / Lalitpur, Nepal.

Modifications to Terms

How updates to service terms are published and communicated to clients.

Sanchaya Services reserves the right to modify or amend these Terms of Service at any time. Updated versions will be posted on this page with a revised “Last Updated” date.

Continued use of our website or services following any updates signifies your acceptance of the revised Terms.
